C-S-X and Conrail have amended their merger so Conrail stockholders get more

The new agreement doesn't exceed Norfolk Southern's offer on a per- share
basis.
Still, it could be hard for Norfolk Southern to come out ahead.
Barry Cohen, an analyst with Bear Stearns, explains that the C-S-X Conrail
deal is extremely complicated and stacked in favor of C-S-X.
Cohen says, for example, that the C-S-X- Conrail merger could get approved
with only a small percentage of Conrail shareholders voting in favor of it.
But another railroad expert we spoke with says the latest C-S-X offer still
isn't enough.
Conrail shareholders will vote on the merger next month.
