Then Norfolk Southern came back with a much more lucrative bid for Conrail.

SUPER=@File;

C-S-X and Conrail have amended their merger agreement so Conrail stockholders will get more money for their shares.
It still doesn't exceed the offer from Norfolk Southern, one of the largest employers in our area.
But the complex nature of the merger agreement could make it tough for N-S.
The new deal says Conrail directors must support the the C-S-X merger through next JULY.
It also restricts C-S-X and Conrail from discussing deals with other railroads.
But even with all this, the deal will still come down to a vote by Conrail shareholders next month.
One analyst says he has spoken with 10 people who each own more than 50,000 shares of Conrail...and all of them favor the N-S offer.
