KOLLMORGEN URGES REJECTION OF OFFER

The head of Kollmorgen Corp. has urged stockholders to ignore a purchase offer revived by Vernitron Corp. last week. John L. Youngblood, chairman and president, wrote that the company is restructuring by selling some operations and cutting costs.

After canceling a buyout offer of $25 a share in September, Vernitron said it was preparing to offer $15 a share if it wins control of the Kollmorgen board in a proxy contest at the May 24 stockholder meeting.

Kollmorgen, with three operations in Radford, reported first-quarter net income of $1.6 million, more than double the $.7 million a year ago. Sales of $60.7 million were up from $58.6 million last year. - Staff report
