AT&T-NCR TALKS FAIL; PROXY FIGHT RESUMES

Talks between AT&T and NCR broke down on Tuesday, and AT&T said it was "pressing vigorously ahead" with its proxy contest to replace the NCR board at a special meeting in Dayton, Ohio, on Thursday.

In a day marked by the exchange of strongly worded letters between the chairmen of the companies, NCR's shares dropped $1.875, to $97.75, as the prospects of a quick resolution of the takeover try diminished. But analysts and traders said it was still possible for an accord to be reached before the vote Thursday for control of the NCR Corp.'s board.

Shares of the American Telephone and Telegraph Co. rose 87.5 cents, to $33.875. - The New York Times
