LITTLEFIELD TO EXPAND ROANOKE PLANT

Littlefield, Adams & Co., Roanoke maker of imprinted sportswear and team sports outerwear, said Tuesday it plans to expand its Collegiate Pacific Co. operations in Roanoke following termination of its agreement to buy a Richmond T-shirt printing company.

Littlefield had announced plans late last year to acquire Vatex America Inc., a T-shirt printing and advertising specialty products company, through an exchange of stock.

But the agreement was cancelled because Vatex has $2.1 million of debt - "too much," according to Curtis Younts, a major investor in Littlefield. Younts said it will be much cheaper to add to the Roanoke Collegiate Pacific plant or to expand in a satellite plant.

Expansion plans will be considered at the next board meeting, he said.

A shareholder meeting to approve a complex transaction for Littlefield to acquire San Antonio Tent & Awning Co. and Logotel Inc. of Kensington, Md., is expected to be held in April. The meeting will be 20 days after Securities and Exchange Commission approval of the company's proxy, Younts said.

Logotel is a licenser and distributor of apparel and other items bearing comic strip and entertainment imprints.

Shareholders will be asked to approve an increase in the company's authorized stock from 3 million to 25 million shares. The new shares would permit the company to split its stock in the future, Younts said.

Younts and his partners at San Antonio Tent have a controlling interest in Littlefield.

The company said it plans to place 1.2 million shares privately in exchange for San Antonio's stock and place 240,000 shares in exchange for Logotel's stock.

Collegiate Pacific has been awarded a license agreement - worth "millions of dollars," according to Younts - from Notre Dame University for production of T-shirts, sweat shirts, pants, shorts, felt banners, pennants and other items.

Collegiate also will supply imprinted T-shirts for sale at the NCAA Final Four basketball tournament in Minneapolis, starting April 4, Younts said. He said the company has made T-shirts for some of the regional playoffs as well.
