Hopkins, Minn.-based Alliant announced two weeks ago its intent to purchase Hercules Aerospace, the division of Wilmington, Del.-based Hercules Inc. that has operated the Radford Army Ammunition Plant since World War II.
The company's president and chief executive officer, Toby Warson, said results of the vote would not be available sooner because of the large number of proxies received and the need to check their validity. He said the meeting would reconvene Aug.10 expressly to release the results, "if available."
He issued the comment via a recorded phone message set up to convey the results of Alliant's annual meeting Wednesday.
Capstay Partners L.P., which owns about 5 percent of Alliant's stock, has proposed replacing Alliant's six non-employee members of its board of directors with its own directors.
Some of Alliant's shareholders have been displeased with the company's strategy of acquiring businesses as a response to downsizing in the defense industry. Spokesmen for the company and Hercules have not speculated on how the proxy fight outcome might affect the Hercules deal.
Alliant proposed buying Hercules Aerospace for $365 million and 3.5 million shares of Alliant stock.
