CRESTAR FORMALIZES TIDEMARK PURCHASE

Crestar Financial Corporation and TideMark Bancorp Inc. said Monday they had agreed that Crestar will acquire TideMark, the Newport News-based holding company for TideMark Bank. The agreement formalizes a previously announced letter agreement signed by the two in September 1994.

TideMark shareholders are to receive $5.50 per share in cash or a tax-free exchange of Crestar common stock for each share of TideMark stock held. The transaction is expected to close in early 1995.
