LITTLEFIELD REACHES AGREEMENT WITH SEC

Littlefield, Adams & Co., parent of Collegiate Pacific Inc. of Roanoke, said Monday it has settled a dispute with the Securities and Exchange Commission over filing of its financial results for 1992 and 1993.

The resolution follows settlement of class-action litigation and filing of the company's 1994 10-K report to the commission and shareholders, restating results for the two prior years.

The agreement settles all claims against the company under an SEC investigation.

The company, which neither admitted nor denied liability, agreed to the entry of an injunction prohibiting the company from violating various provisions of securities laws. The consent decree will not require the company to pay any monetary relief or penalty.

The consent decree, however, still is subject to formal approval by the full commission.
