LIN BROADCASTING TO SPIN OFF MOST TV HOLDINGS,

Lin Broadcasting to spin off most TV holdings, including WAVY: Lin
Broadcasting Corp. plans to spin off seven network-affiliated TV stations to
shareholders, separating the company's broadcasting business from its much
larger cellular phone operations. The spinoff would create a separate publicly
traded Lin Television Corp. that would own three NBC affiliates, two stations
affiliated with ABC and two with CBS in major markets including Dallas and
Indianapolis. Lin Television will get six stations Lin Broadcasting already
owns plus one it has just agreed to acquire - WTNH-TV, the ABC affiliate in
the Hartford-New Haven, Conn., market. The spinoff is expected to be completed
by the end of the year, and McCaw will end up with 46 percent of Lin
Television. Besides WTNH, Lin Television would own the NBC affiliates KXAS in
Fort Worth-Dallas, WAVY in Hampton Roads, and KXAN in Austin, Texas; the CBS
affiliates WISH in Indianapolis and WANE in Fort Wayne, Ind., and the ABC
affiliate WAND in central Illinois. Lin Broadcasting, based in Kirkland,
Wash., is the largest provider of cellular service in the United States.
