5 DIRECTORS BOYCOTT DOMINION MEETING

A group of five Dominion Resources Inc. directors refused to attend a meeting of the company's 15-member board Friday.

The five, including two former chairmen, contended in a public statement this week that Dominion had seriously misrepresented their roles in a dispute over management of Virginia Power, Dominion's electric utility subsidiary.

Attorneys for the five directors said Friday that the directors ``were not prepared to participate in any plan to ratify what they believe to be the improper and invalid packing of the board on June 16.''

The Dominion board voted June 16 to expand its size from 12 directors to 15 and named a fourth director to replace one who was ill.

Dominion, based in Richmond, said Friday that its board removed two of the absent directors, T. Justin Moore Jr. and James F. Betts, from committee assignments and appointed a special committee to oversee the company's response to an investigation by state regulators.

The bitter dispute among Dominion's directors became public June 17 when the State Corporation Commission ordered an investigation into the relationship between Dominion and its electric utility subsidiary. by CNB
